3. Account Registration

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Maintain and promptly update your account information.

5. Use of Services

As an Employer, you may use the Platform to:

• Enter into contracts and agreements with Talent.
• Process payments through our secure payment system.

5.2 For Talent

As Talent, you may use the Platform to:

• Create and maintain a professional profile.
• Showcase your skills, experience, and portfolio.
• Apply for job opportunities posted by Employers.
• Communicate with potential Employers.
• Receive payments for completed work.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Providing false or misleading information.
• Impersonating another person or entity.
• Circumventing the Platform's payment system.
• Harassing, threatening, or discriminating against other users.
• Posting illegal, harmful, or offensive content.
• Attempting to gain unauthorized access to the Platform.
• Using automated systems to access the Platform without permission.
• Engaging in any form of spam or unsolicited communications.
• Violating any applicable laws or regulations.
• Interfering with the proper functioning of the Platform.

7. Payment Terms

7.1 Subscription Fees

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of FindTalent or its licensors and is protected by intellectual property laws.

8.2 User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant FindTalent a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Services.

8.3 Work Product

Intellectual property rights in work created by Talent for Employers shall be governed by the specific agreement between those parties.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FINDTALENT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose.
• Non-infringement of third-party rights.
• Accuracy, reliability, or completeness of any content.
• Uninterrupted or error-free operation of the Platform.
• Security of the Platform against unauthorized access.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINDTALENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Damages arising from disputes between Employers and Talent.
• Damages resulting from unauthorized access to your account.
• Any other damages arising from your use of the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless FindTalent, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

FindTalent reserves the right to suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms or our policies.
• Fraudulent or illegal activity.
• Extended periods of inactivity.
• Request by law enforcement or government agencies.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through the following process:
